Welcome to the Paid Services of Amouree. Please read, understand, and comply with the following terms carefully. This User Payment Agreement (the “Agreement”) governs all paid services and related features (collectively, the “Paid Services” or the “Services”) provided by SyncTide Network Technology Limited (the “Company”, “we”, “us”).
To access the Paid Services, you shall read and comply with this Agreement, the Terms of Service, the Privacy Policy, and any other applicable rules. This Agreement is a supplementary agreement to, and form an inseparable part of, the Terms of Service and Privacy Policy. In the event of any conflict, this Agreement shall prevail.
Before purchasing or using any Paid Service, please read this Agreement carefully and pay particular attention to the specific terms and notices applicable to the service you intend to purchase, including any provisions highlighted in bold (such as refund terms, disclaimers, and liability).
If you do not agree to any part of this Agreement, do not proceed (including ticking an acceptance box, clicking “Subscribe” or “Purchase,” or making a payment). By proceeding in any such manner, you confirm that you have read and accepted this Agreement in full, which then becomes legally binding between you and us.
1.1Scope
1. This Agreement applies to all Paid Services purchased by users on the AmoureePlatform or any partner platform. Paid Services may be accessed using Amouree Gems (subject to the rules and descriptions displayed on the relevant purchase page). This Agreement applies whenever you purchase or use any one or more Paid Services.
2. All other agreements, activity rules, announcements, notices, and in-app messages that we have published or may publish from time to time in connection with us (collectively, the “Platform Rules”) form an inseparable part of this Agreement and carry the same legal force.
1.2Definitions
1)“Amouree” / the “Amouree Platform” refers to the products and services made available by us via web pages, mobile applications (including different versions), browser add-on, mini-programmes, SDKs, APIs, and other formats that may emerge as technology develops, including but not limited to the platform whose core feature is AI interactive chat.
2)“Paid Services” means services provided by the Amouree Platform through which you may access specific product features and benefits by meeting eligibility criteria or paying a fee.
3)“User” means any user who logs in, uses the platform, and intends to subscribe to or purchase a Paid Service.
4)“Member Account” means the user account linked to your membership subscription.
5)“Standard Account” means any user account that is not a Member Account.
6)“Amouree Gems” means the virtual currency we provide to users for making purchases within Amouree and on partner platforms.
7)“User Account” means the Amouree account registered, accessed, and used by a user.
8)“Service Fee” means the amount actually paid by a user to purchase one or more Paid Services.
9)“Validity Period” means the period during which a user may access a Paid Service and its associated benefits following purchase.
10)“Platform Rules” means this Agreement, the Amouree Terms of Service, the Amouree Privacy Policy, and any other agreements, rules, or policies relating to Amouree services (including individual or bundled Paid Services) that the Company has published or may publish from time to time.
1)You must register for or log in to an Amouree account before purchasing or using any Paid Service.
2)Paid Services are available under various payment models, including but not limited to Amouree membership subscriptions (where available), purchasing Amouree Gems to unlock specific AI features, and one-time payments for individual features.
3)You confirm that you have the legal capacity to enter into this Agreement. If you are a minor under 18 or otherwise lack legal capacity, parental or guardian consent is required before making any purchase.
4)Your Paid Service will be activated upon successful payment. The applicable benefits and validity period are as displayed on the product page.
5)If a significant platform adjustment resulting from changes in law, government action, or changed circumstances prevents us from continuing to provide a service, we will notify you by reasonable means and issue a pro-rata refund for the unused portion of your service period.
6)We may send you promotional content, member benefits, and special offers via the mobile number linked to your account, in-app messages, or platform announcements. You may opt out of non-essential marketing communications through the channel provided in the Privacy Policy.
1)Membership plans
We offer membership plans at different plans, including Monthly Auto-Renewaland Annual Auto-Renewal, subject to the options displayed on the relevant page.
2)Member benefits
Member benefits are provided in accordance with the selected plan, as set out on the subscription page.
3)Auto-renewal subscriptions
We support auto-renewal subscriptions for members. Please refer to the Subscription Rules for details on how auto-renewal works.
4)Changes to benefits
To improve user experience and service quality, we may from time to time update or modify membership services, features, pricing plans, subscription plans, upgrade/downgrade options, and associated benefits.
5)Validity period
During the validity period of your subscription, the user account through which you access the foregoing benefits shall be deemed your Member Account. Membership services require you to be logged in to your Member Account. The validity period is as displayed on the product page for the relevant membership plan.
6)Checking your validity period
Once your membership is active, you can log in to your Member Account to view your subscription details, including active benefits and expiry dates.
4.1Nature of Amouree Gems
Amouree Gems are virtual currency provided by us for redeeming features within Amouree and on partner platforms. Gems are not legal tender, prepaid cards, or payment instruments. They cannot be converted back into cash, and cannot be transferred, gifted, or sold between accounts.
4.2How to obtain Amouree Gems
1)Purchase: Any user may purchase Amouree Gems in accordance with this Agreement and the Platform Rules.
2)Promotional grants: We may, at our discretion, award Gems or other benefits to users meeting certain criteria — for example, through daily login rewards, member entitlements, in-app tasks, or specific promotional events. The applicable rules will be as published on the relevant product page.
4.3Rules for using Amouree Gems
Gems may not be transferred or gifted between different users or between accounts controlled by the same user. Gems are non-refundable and cannot be cashed out.
Gems may only be redeemed for designated in-platform features or value-added services.
Amouree Gems are subject to a validity period and must be used within such period, as detailed below:
1)New-user welcome Gems: valid for 19 years from the date of receipt;
2)Daily free Gems: valid on the day of issuance only;
3)Purchased Gems: valid for 24 years from the date credited to your account.
4.4Standard pricing: 1 Gem = USD 0.009.
4.5Promotional pricing
We may from time to time offer discounted purchase events. Promotional prices are as displayed on the relevant product page and event rules. We may also update or adjust Gem-related services, features, pricing, and user entitlements; the Gem amount you actually receive will be as shown on the relevant promotional or payment page.
4.6Gem balance
You can view your Gem balance,credit history, and usage history under [Me] → [Gem Shop] in the Amouree mobile app. These records serve as the authoritative reference for your Gem activity. If you believe any record is incorrect, please contact us using the details in this Agreement. We will investigate and correct any confirmed errors.
5.1Pricing
The Company has the right to set prices for all Paid Services at its own discretion.
The pricing plans, specific benefits, payment models, validity periods, and bonus entitlements for any Paid Service may be adjusted from time to time.
5.2Purchase and payment
All purchases under this Agreement must be made while you are logged in to your Amouree User Account.Please ensure you only use the designated payment channels.
5.3Refund policy
As Paid Services are virtual goods, payments are generally non-refundable once made, except where required by law, as otherwise provided in this Agreement, or where a material defect in the Service prevents proper use and constitutes a breach by the Company. Please carefully review the service benefits, price, and terms before completing a purchase.
Upon deleting your account, any remaining virtual benefits and Gem balance will be permanently cancelled and cannot be recovered, refunded, or redeemed. Please ensure your account holds no remaining assets or virtual benefits before proceeding with deletion. Any assets or virtual benefits remaining at the time of deletion shall be deemed voluntarily relinquished by you., and cannot be used, transferred, or restored after deletion.
1)When using the Paid Services, you must not:
(1)obtain any Paid Service or benefit through theft, exploitation of system vulnerabilities, defects or errors in rules or system settings, or any channel not officially provided or authorised by the Company;
(2)use any Paid Service or benefit for commercial gain or unlawful profit;
(3)use unauthorised means to alter the content, duration, transaction history, or status of any Paid Service purchased under your account;
(4)crack, modify, reverse-operate, tamper with, or otherwise undermine any security measure the Company uses to protect Paid Services or benefits;
(5)use any Paid Service or benefit to infringe the intellectual property, property rights, reputation, or other lawful rights and interests of the Company or any third party;
(6)use any Paid Service or benefit in a manner that harms or may harm minors;
(7)engage in any other conduct that violates applicable laws or regulations, regulatory policies, or the principle of good faith, or that infringes the lawful rights of any third party or Amouree, or that breaches this Agreement or the Platform Rules.
2)If you engage in any of the above prohibited acts, we reserve the right to suspend, cancel, or invalidate the relevant services and paid benefits you have purchased, and may retain, on a reasonable and proportionate basis, any fees paid but not yet performed, in order to compensate for actual or reasonably anticipated losses incurred as a result. You shall bear full legal responsibility for any such unlawful or improper conduct, and the Company reserves the right to seek indemnification from you for any resulting losses.
Your Paid Service may be suspended or terminated in the following circumstances:
(1)you voluntarily suspend or terminate the service;
(2)the Company suspends or terminates the service due to your breach of this Agreement;
(3)the Company suspends or terminates the service in response to a government or regulatory requirement, or due to a force majeure event;
(4)suspension or termination is otherwise required by applicable law or regulation.
Following suspension or termination, the Company may (but is not obliged to) ensure that you receive a specific notice or alert.
Where suspension or termination occurs under Section 7(2) above:
(1)the Company shall not be liable to you or any third party except as required by law;
(2)fees already collected will not be refunded, except as otherwise provided in this Agreement;
(3)the Company may (but is not obliged to) preserve any user data associated with your Paid Services.
1)Please purchase the relevant Paid Services based on your actual needs.
2)The Company may from time to time update or modify Paid Services, features, pricing plans, subscription plans, upgrade/downgrade options, and user benefits.
3)Before each payment, please verify that your device, payment amount, and account details are correct.
4)Paid Services and associated benefits are for your personal use only via your registered User Account.
5)Upon activating the relevant Paid Services, you may use such Paid Services at any time during the applicable validity period.
6)You understand and agree that you shall be solely responsible for any claims, demands, or losses asserted by third parties arising from your violation of applicable law, this Agreement, or the Platform Rules.
You shall use artificial intelligence technologies in a lawful, rational, and responsible manner, and shall not violate this Agreement, the platform rules, or any applicable laws and regulations.
Our products and services are provided on an “as is” basis, to the extent permitted by current technology and conditions. We make no express or implied warranty that:
(1) the products or services will fully meet your requirements or be fit for any particular purpose;
(2) the products or services will be uninterrupted, timely, secure, reliable, or error-free;
(3) any errors in the products or services will be corrected;
(4) you will not face any risks when using the products or services.
To the extent permitted by applicable law, we shall not be liable for any losses caused by force majeure events, failures of third-party channels, government actions or restrictions, or improper operation by users, where such losses are not attributable to us.
If you are under 18 years of age, you must read this Agreement carefully under the guidance of your parent or guardian, and obtain their consent before purchasing any Paid Service.
We take the protection of minors' personal information and privacy seriously. We specifically remind you to exercise caution when providing any minor's personal information and to be mindful when posting content involving minors.
Guardians seeking a refund on behalf of a minor must provide: proof of the minor's identity, proof of guardianship, payment records, and a statement that the purchase was unauthorised. We will review and process such requests within a reasonable timeframe.
